Licensor: RedDotIndustries SRL, registered in Romania


By installing, deploying, or using Scalple, you ("Licensee") agree to be bound by the terms of this End User Licence Agreement ("Agreement"). If you do not agree, do not install or use the software.


1. Definitions

  • "Software" means the Scalple application, including all binaries, configuration files, documentation, and updates provided by the Licensor.
  • "Licence" means the right to use the Software granted under this Agreement.
  • "Licence Tier" means the applicable plan under which the Software is used: Community, Professional, or Enterprise.
  • "Deployment" means a single installation of the Software on infrastructure owned or controlled by the Licensee.
  • "Authorised Users" means the individuals permitted to use the Software under the applicable Licence Tier.

2. Licence Grant

Subject to the terms of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software solely on the Licensee's own infrastructure, for the Licensee's internal business purposes, within the limits of the applicable Licence Tier.

2.1 Licence Tiers

The features available under each Tier are as described on the Licensor's website at the time of activation. The Licensor reserves the right to adjust Tier contents upon reasonable notice.


3. Restrictions

The Licensee shall not:

  • Copy, modify, translate, or create derivative works of the Software, except as expressly permitted by applicable law.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
  • Sublicense, sell, resell, transfer, assign, or otherwise make the Software available to any third party.
  • Use the Software to build a competing product or service.
  • Remove or alter any proprietary notices, labels, or marks on the Software.
  • Use a Community licence for commercial purposes beyond internal evaluation or teams of up to 15 users.

4. Ownership

The Software is licensed, not sold. The Licensor retains all intellectual property rights in and to the Software, including all copies and derivative works. This Agreement does not transfer any ownership rights to the Licensee.


5. Data and Privacy

The Licensor does not access, process, store, or transmit any data managed or queried through the Software. All data processed by the Software remains exclusively within the Licensee's own infrastructure at all times.

The Licensor has no visibility into, and bears no responsibility for, any personal data, database contents, or audit records generated or stored by the Software on the Licensee's infrastructure.

The Licensee is solely responsible for ensuring their use of the Software complies with applicable data protection laws, including GDPR, NIS2, HIPAA, or any other regulatory framework relevant to their operations.


6. Updates and Support

  • Community: Updates are provided on a best-effort basis. Support is limited to community channels.
  • Professional: Priority email support and onboarding assistance are included for the duration of the licence term.
  • Enterprise: Dedicated support with a defined SLA, quarterly security review calls, and custom contract terms are included.

The Licensor may release updates, patches, or new versions of the Software at its discretion. The Licensee is responsible for applying updates to their Deployment.


7. Licence Term and Termination

7.1 Term

  • Community: This licence is perpetual unless terminated under section 7.2.
  • Professional / Enterprise: This licence is valid for the annual term paid upfront. It expires at the end of the paid term unless renewed.

7.2 Termination for Breach

The Licensor may terminate this Agreement immediately upon written notice if the Licensee materially breaches any term of this Agreement and fails to remedy such breach within 14 days of notice.

7.3 Effect of Termination

Upon termination or expiry, the Licensee must cease all use of the Software and delete all copies from their infrastructure. Licence keys will be deactivated. No refunds are provided for unused portions of a paid annual term, except where required by applicable law.


8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE LICENSOR'S TOTAL LIABILITY TO THE LICENSEE EXCEED THE AMOUNT PAID BY THE LICENSEE FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FOR COMMUNITY (FREE) USERS, THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED €100.


10. Governing Law and Disputes

This Agreement is governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the competent courts of Romania.


11. Changes to this Agreement

The Licensor reserves the right to update this Agreement at any time. For paid Licence Tiers, changes will be communicated with at least 30 days' notice before taking effect. Continued use of the Software after the effective date of a revised Agreement constitutes acceptance of the new terms.


12. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous understandings, representations, or agreements. For Professional and Enterprise customers, any separately executed written contract between the parties shall take precedence over this Agreement to the extent of any conflict.
